چکیده

In this paper, I analyze the role of equity and debt linked contracts in a monopoly setting. I show that the equity contract dominates the debt linked contracts because it attracts higher ability entrepreneurs and provides more profit to the monopolist. I also show that the social welfare that results from the equity contract exceeds those derived from debt financial instruments. ∗I thank Josh Lerner, Stylianos Perrakis, Michel Poitevin, Michel Patry, Lorne N. Switzer, and Michelle Breton for their insightful and thoughtful comments on the previous version. I am grateful to the participants at the meeting of European Financial Management Association (1999), FMA (2002) AFFI (2002) Portuguese Network (2002) seminar participants at John Molson Business School of Concordia University, HEC of Montreal, Odette Business School of University of Windsor, Business School of University of Regina, and Business School of Memorial University for insightful comments.

Optimal financing for growth firms

We analyze the optimal contract to finance the series of investments of a growing firm. The analysis is based on the need to repeatedly raise funds when informed insiders can expropriate outside investors. The optimal contract can be implemented by a sequence of one-period debt contracts and equity ownership by outsiders. Debt is optimal, as it reduces the expected cost of auditing, while parti...

Efficient venture capital financing combining debt and equity

I present a model of venture capital contracting in which contracts that involve a mixture of both debt and equity are efficient and dominate pure-equity and pure-debt financing. The optimal contract balances the venture capitalist’s incentive to intervene in the project and the entrepreneur’s desire for control. JEL classification: G24, G32

Debt contracts and collapse as competition phenomena

We study financial intermediation in which sufficient sorting is impossible. We identify a new type of market failure that may occur even when returns of investing entrepreneurs are verifiable. Moreover, we suggest that the nature of competition determines the contracts banks offer. A monopoly bank will offer equity contracts. In any pure strategy equilibrium when lenders compete à la Bertrand,...

Evidence on Asset Sales and Income Management: Case of Iran

This study empirically examines whether managers manipulate reported income through the timing of sales of long-lived assets and investments. Several empirical implications of the income-smoothing and debt-equity hypothesis in the context of asset sales were tested. The findings are consistent with the timing of asset sales by managers so that the recognized accounting income from these sales s...

Asset Pricing with Dynamic Labor Contracts ∗

I study asset prices in a two-agent production economy in which the worker has private information about her labor productivity. The shareholder offers an incentive compatible long-term labor contract, which partially insures the worker against labor income risk. I compare the model’s performance to settings with a competitive labor market, and with static labor contracts. My model successfully...
