یکی از مسائل مهم و چالش‌برانگیز هنگام افزایش سرمایه در شرکتهای تجاری، مسئله «حق تقدم» است. بررسی نحوه ایجاد این حق، سلب آن و نحوه استفاده از آن خصوصاً در شرکتهای پذیرفتهشده در بورس از جمله ابعاد مهم این مسئله تلقی می‌گردد. این مقاله می‌کوشد، با محوریت یکی از آرای صادره توسط هیئت داوری ماده 36 قانون بازار اوراق بهادار، به بررسی جوانب این مفهوم و نکات مهم پیرامون آن بپردازد.
